Agreement to Terms

These Terms of Service ("Terms") govern your use of SPConnector's automated packing slip printing service that integrates Shippo and PrintNode. By using our service, you agree to these Terms.

If you do not agree to these Terms, please do not use our service.

These Terms constitute a legally binding agreement between you and JonesLabs LLC, operating as SPConnector, regarding your use of our service.

Service Description

SPConnector provides automated packing slip printing services that:

• Connect to your Shippo account to monitor orders
• Automatically print packing slips via PrintNode when orders arrive
• Provide real-time dashboard monitoring of orders and print jobs
• Offer configurable order filtering and processing rules
• Enable manual printing controls and order management
• Collect anonymous website usage analytics to improve service quality

Our service acts as an intermediary between Shippo and PrintNode to automate your fulfillment workflow.

Third-Party Service Disclaimer

Platform Limitations and Known Issues

No Liability for Third-Party Limitations

• SPConnector is dependent on the capabilities and limitations of third-party services (Shippo, PrintNode, etc.)
• We cannot guarantee functionality beyond what these platforms support
• We are not liable for issues, delays, or limitations caused by third-party platform constraints
• We will make commercially reasonable efforts to inform you of known platform limitations
• Feature availability may vary by marketplace platform due to third-party API limitations

Account Registration and Security

Account Creation

• You must provide accurate, current, and complete information during registration
• You are responsible for maintaining the confidentiality of your account credentials
• You must notify us immediately of any unauthorized use of your account
• You must be at least 18 years old or have legal capacity to enter into contracts
• Account authentication is handled through secure login methods including email verification, Google, and GitHub

API Integration Requirements

• You must have valid Shippo and PrintNode accounts with appropriate API access
• You are responsible for the accuracy and validity of your API credentials
• You must ensure your API keys have the necessary permissions for our service
• You are responsible for any costs incurred through Shippo or PrintNode usage

Acceptable Use Policy

You agree to use SPConnector only for legitimate business purposes and in compliance with all applicable laws. You may not:

• Use the service for any illegal or unauthorized purpose
• Attempt to bypass, disable, or circumvent our security measures
• Reverse engineer, decompile, or attempt to extract source code
• Use the service to transmit malicious code or spam
• Overload our systems with excessive API requests
• Share your account credentials with unauthorized parties
• Use the service to violate third-party rights or agreements
• Interfere with or disrupt the service or servers

Service Availability and Performance

Uptime Commitment

• We strive for 99.9% uptime but cannot guarantee uninterrupted service
• Planned maintenance will be announced with advance notice
• Emergency maintenance may occur with limited notice

Third-Party Dependencies

Our service depends on third-party services including:

• Resend for email delivery and verification
• Shippo API for order retrieval
• PrintNode API for printing services
• Railway SOC 2 Type II certified hosting infrastructure with SOC 3 and HIPAA attestations

Service interruptions may occur due to third-party outages beyond our control.

Subscription and Payment Terms

Billing

• Subscription fees are billed in advance on a monthly or annual basis
• Refunds are available as outlined in our Refund Policy
• Price changes will be communicated with 30 days advance notice
• You are responsible for keeping payment information current

Merchant of Record

Free Plan

• Free plans are available for new accounts
• Free plan limitations may apply to features or usage volume

Payment Failure

• Service may be suspended for failed payments
• Account may be terminated after 30 days of non-payment
• You remain responsible for all accrued charges

Data Handling and Privacy

Our handling of your data is governed by our Privacy Policy, and our refund terms are governed by our Refund Policy, both of which are incorporated into these Terms by reference.

Your Data Rights and Control

• Data Ownership: You retain full ownership of your business data and order information
• Data Export: Export all your data in GDPR-compliant formats at any time through your account
• Account Deletion: Permanently delete your account and all data through our self-service deletion feature
• Data Accuracy: You are responsible for the accuracy of data provided to our service
• Customer Data Authorization: You must have proper authorization to process customer data
• Compliance Responsibility: You are responsible for compliance with applicable data protection laws

Data Export and Deletion Features

• Complete Data Export: Download all account data, orders, and configuration in JSON format
• Orders Export: Export order data in CSV format for business analysis and record-keeping
• GDPR Compliance: All exports include metadata explaining your data rights under Article 15
• Secure Account Deletion: Multi-step verification process ensures intentional deletion
• Immediate Data Removal: Account deletion permanently removes all data within 24 hours
• No Recovery Period: Deleted accounts cannot be recovered - export data before deletion

Data Security

• We implement industry-standard security measures to protect your data
• User authentication is managed using industry-standard practices including OAuth 2.0 and encrypted session tokens
• All API keys and order data (including customer addresses and contact information) are encrypted using AES-256 encryption in our database
• Data is encrypted in transit and at rest
• API keys are masked in data exports to protect sensitive credentials
• You should immediately report any suspected security breaches

Analytics and Tracking

• We use Umami, a privacy-focused, cookie-free analytics platform that we self-host on our own infrastructure
• Umami collects only anonymous, aggregated data such as page views, general device information, and referral sources
• No personal data is collected, no cookies are set, and no visitor profiles are created
• Analytics data is never associated with individual user accounts
• We do not use analytics data for advertising or share it for commercial purposes

Intellectual Property Rights

Our Rights

• SPConnector retains all rights to our software, technology, and service
• Our trademarks, logos, and branding are our exclusive property
• You may not copy, modify, or create derivative works of our service

Your Rights

• You retain ownership of your business data and content
• You grant us a limited license to process your data to provide our service
• This license terminates when you delete your data or close your account

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Our total liability to you shall not exceed the fees paid in the 3 months prior to the claim
• We are not liable for indirect, incidental, special, or consequential damages
• We are not liable for business interruption, lost profits, or lost data
• We are not liable for third-party service failures (Shippo, PrintNode, etc.)
• We are not liable for printing costs, delays, or failures beyond our control

Service Disclaimers

• Our service is provided "as is" without warranties of any kind
• We do not guarantee continuous, uninterrupted, or error-free operation
• We are not responsible for the actions or policies of third-party services
• You are responsible for testing and validating the service for your needs

Indemnification

You agree to indemnify and hold harmless SPConnector from claims arising from:

• Your use of the service in violation of these Terms
• Your violation of applicable laws or regulations
• Your infringement of third-party rights
• Inaccurate or misleading information you provide
• Your handling of customer data or privacy violations

Termination

Your Right to Terminate

• Subscription Cancellation: Cancel your subscription at any time through your account dashboard
• Billing Period: Cancellation takes effect at the end of your current billing period
• Account Deletion: Permanently delete your account and all data through our self-service deletion feature
• Data Export: Export all your data before cancellation or deletion through multiple export options

Cancellation vs. Account Deletion

• Subscription Cancellation: Ends billing but retains your data for 90 days for potential reactivation
• Account Deletion: Permanently removes all data within 24 hours with no recovery period
• Multi-Step Verification: Account deletion requires email confirmation and typed verification for security
• Irreversible Process: Deleted accounts cannot be recovered - we recommend exporting data first
• Alternative Options: Consider downgrading your plan or contacting support before permanent deletion

Our Right to Terminate

We may suspend or terminate your account immediately if you:

• Violate these Terms or our Acceptable Use Policy
• Fail to pay subscription fees
• Engage in fraudulent or illegal activities
• Pose a security risk to our service or other users

Effect of Termination

• Immediate Access Suspension: Your access to the service will be immediately disabled
• Data Retention (Cancellation): Data retained for 90 days for potential account recovery
• Data Deletion (Account Deletion): All data permanently deleted within 24 hours
• Export Opportunity: You may export your data before termination through our export features
• Authentication Cleanup: Account deletion also removes all session data and authentication records
• Admin Deletion: Administrators may delete user accounts with appropriate verification

Force Majeure

Neither party shall be liable for any failure to perform due to circumstances beyond their reasonable control, including natural disasters, war, terrorism, strikes, government actions, or third-party service outages.

Dispute Resolution

We encourage you to contact our support team to resolve any issues.

Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by:

• Posting updated Terms on our website
• Displaying a notice in your account dashboard

Your continued use of the service after changes take effect constitutes acceptance of the new Terms.

Miscellaneous

Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and SPConnector.

Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.

Assignment

You may not assign these Terms without our written consent. We may assign our rights and obligations to any party.
